Provisions for Employment 1. EMPLOYMENT.
PROFESSIONAL SUPPORT NETWORK, LLC shall employ Employee as a Support
Professional. Employee is to understand and affirm that employment is on a per
Client basis (or Client exclusive), with one (1) employee being assigned to no
more than one (1) Client. Employee further understand that PROFESSIONAL SUPPORT
NETWORK, LLC makes no claim to replace Employees current employment, and that
employment by PROFESSIONAL SUPPORT NETWORK, LLC is to supplement Employee’s
income ONLY.
Employee shall provide to PROFESSIONAL SUPPORT NETWORK, LLC the following
services: Provide support as specified by PROFESSIONAL SUPPORT NETWORK, LLC with
regard to the needs of the Client. Specifically, Employee will answer specific
questions and provide assistance to members of PROFESSIONAL SUPPORT NETWORK,
LLCs Clients. In the event Employee is unable to provide the necessary support,
Employee will notify PROFESSIONAL SUPPORT NETWORK, LLC and PROFESSIONAL SUPPORT
NETWORK, LLC's Client's programmer that additional, more expert assistance is
required.
Employee accepts and agrees to such employment, and agrees to be subject to the
general supervision, advice and direction of PROFESSIONAL SUPPORT NETWORK, LLC
and PROFESSIONAL SUPPORT NETWORK, LLC's supervisory personnel. Employee shall
also perform (i) such other duties as are customarily performed by an employee
in a similar position, and (ii) such other and unrelated services and duties as
may be assigned to Employee from time to time by PROFESSIONAL SUPPORT NETWORK,
LLC.
2. BEST EFFORTS OF EMPLOYEE.
Employee agrees to perform faithfully, industriously, and to the best of
Employee's ability, experience, and talents, all of the duties that may be
required by the express and implicit terms of this Agreement, to the reasonable
satisfaction of PROFESSIONAL SUPPORT NETWORK, LLC. Such duties shall be provided
at such place(s) as the needs, business, or opportunities of PROFESSIONAL
SUPPORT NETWORK, LLC may require from time to time.
3. COMPENSATION OF EMPLOYEE.
As compensation for the services provided by Employee under this Agreement,
PROFESSIONAL SUPPORT NETWORK, LLC will pay Employee a base sum per week
initially, with provision for increase in wages upon increase in work
requirements. The initial amount will be based on contract price with Client,
and is commensurate with experience of the Employee. This amount shall be
paid weekly, beginning 7 days after Employee takes the assignment of
responsibility for Client’s support requirements, and will continue every 7th
day thereafter until Employee is no longer obligated to fulfill those
requirements or is terminated or replaced. Upon termination of this Agreement,
payments under this paragraph shall cease; provided, however, that Employee
shall be entitled to payments for periods or partial periods that occurred prior
to the date of termination and for which Employee has not yet been paid. This
section of the Agreement is included only for accounting and payroll purposes
and should not be construed as establishing a minimum or definite term of
employment, or maximum or definite rate of pay.
4. RECOMMENDATIONS FOR IMPROVING OPERATIONS.
Employee shall provide PROFESSIONAL SUPPORT NETWORK, LLC with all information,
suggestions, and recommendations regarding PROFESSIONAL SUPPORT NETWORK, LLC's
business, of which Employee has knowledge that will be of benefit to
PROFESSIONAL SUPPORT NETWORK, LLC.
5. EMPLOYEE'S INABILITY TO CONTRACT FOR PROFESSIONAL SUPPORT NETWORK, LLC.
Employee DOES NOT have the right to make any contracts or commitments for or on
behalf of PROFESSIONAL SUPPORT NETWORK, LLC without first obtaining the express
written consent of PROFESSIONAL SUPPORT NETWORK, LLC.
6. TERM/TERMINATION.
Employee's employment under this Agreement shall be for 1 year, beginning on
date of hire, with option to renew. This Agreement may be terminated by
PROFESSIONAL SUPPORT NETWORK, LLC upon 1 week's written notice or by Employee upon 1 week's written notice. If Employee is in violation of this Agreement,
PROFESSIONAL SUPPORT NETWORK, LLC may terminate employment without notice and
with compensation to Employee only to the date of such termination. The
compensation paid under this Agreement shall be Employee's exclusive remedy.
7. TERMINATION FOR DISABILITY.
PROFESSIONAL SUPPORT NETWORK, LLC shall have the option to terminate this
Agreement, if Employee becomes permanently disabled and is no longer able to
perform the essential functions of the position with reasonable accommodation.
PROFESSIONAL SUPPORT NETWORK, LLC shall exercise this option by giving 2 weeks
written notice to Employee.
8. COMPLIANCE WITH PROFESSIONAL SUPPORT NETWORK, LLC'S RULES.
Employee agrees to comply with all of the rules and regulations of PROFESSIONAL
SUPPORT NETWORK, LLC.
9. NON-COMPETE CLAUSE.
Employee agrees to refrain from seeking employment with, or offering
professional services to, any Client of the PROFESSIONAL SUPPORT NETWORK, LLC.
Employee further agrees to not seek employment from any competitor of
PROFESSIONAL SUPPORT NETWORK, LLC, or seek to operate any business wherein
he/she shall be in direct competition with PROFESSIONAL SUPPORT NETWORK, LLC, or
be in a position to garner business that would normally fall under the scope or
realm of the business of the PROFESSIONAL SUPPORT NETWORK, LLC. This non-compete
agreement shall remain in effect for a period of 1 year from the date of
Employee’s termination of employment.
10. NOTICES.
All notices required or permitted under this Agreement shall be in writing, by
email, with read receipt requested, and shall be deemed delivered when read
receipt is received. Such email will be delivered to the following email

Such addresses may be changed from time to time.
11. ENTIRE AGREEMENT.
This Agreement contains the entire agreement of the parties and there are no
other promises or conditions in any other agreement whether oral or written.
This Agreement supersedes any prior written or oral agreements between the
parties.
12. AMENDMENT.
This Agreement may be modified or amended at the sole discretion of PROFESSIONAL
SUPPORT NETWORK, LLC.
13. SEVERABILITY.
If any provisions of this Agreement shall be held to be invalid or unenforceable
for any reason, the remaining provisions shall continue to be valid and
enforceable. If a court finds that any provision of this Agreement is invalid or
unenforceable, but that by limiting such provision it would become valid or
enforceable, then such provision shall be deemed to be written, construed, and
enforced as so limited.
14. WAIVER OF CONTRACTUAL RIGHT.
The failure of either party to enforce any provision of this Agreement shall not
be construed as a waiver or limitation of that party's right to subsequently
enforce and compel strict compliance with every provision of this Agreement.
15. APPLICABLE LAW.
PROFESSIONAL SUPPORT NETWORK, LLC being a Texas corporation, this Agreement
shall be governed by the laws of the State of Texas.
